BV explained

What is a BV, and what do we take care of for you?

The Besloten Vennootschap (BV, a private limited company) is the most commonly chosen legal structure for growing entrepreneurs. We support BVs and director-major shareholders every day and know the tax and legal points of attention that come with it.

A BV (Besloten Vennootschap) is a legal structure in which your private assets remain separate from your business. The BV is a legal entity with its own capital. Incorporation requires a notarial deed. As a DGA (director-major shareholder) you are both director and shareholder of your own BV.

As a DGA you are required to pay yourself a customary salary. Profit retained in the BV is taxed with corporate income tax (VPB). Dividend distributions to the shareholder are taxed under box 2. We make sure all these obligations are handled correctly and on time.

Many of our BV clients work with a holding structure. This can offer tax advantages, better risk distribution and makes business succession easier. We guide you towards the right structure for your situation.

Holding structure

Is a holding structure right for you?

Many entrepreneurs with a BV opt for a holding structure. This can be tax-advantageous and offers extra protection. We're happy to explain what it means for your situation.

🛡️

Risk distribution

The holding owns the shares of your operating BV. Profits you transfer to the holding are protected against risks in the operating BV.

💰

Tax advantage

Under certain conditions, such as a shareholding of generally at least 5%, the participation exemption can help avoid profits moving from the operating BV to the holding being taxed twice. We assess whether this applies to your structure.

🔄

Business succession

A holding structure makes it easier to sell or transfer your business, without having to restructure the whole setup.

📋

Managing multiple BVs

Do you have several businesses? Through a holding you manage them clearly from a single structure, with combined financial reporting.

Our approach

What does an accountant do for your BV?

As an accountant for BVs across the Netherlands, we take the entire administration off your hands, so you can focus on growing your business.

💼

Processing DGA salary

As a DGA you are required to pay yourself a customary salary. We process your DGA salary correctly and take care of the monthly payroll tax return.

🏢

Corporate income tax

We prepare your VPB return carefully and in line with current regulations, and look together with you at which tax options apply to your situation.

📊

Annual accounts and Chamber of Commerce

BVs are required to prepare annual accounts and file them with the Chamber of Commerce. We arrange this completely for you, including the filing.

💰

Dividend distribution

Want to distribute profit as dividend? We calculate the optimal distribution, draw up the minutes and process everything correctly for tax purposes in the administration.

📈

Management reports

Periodic reports so you always know how your BV is doing financially. Essential for growth, investments or conversations with the bank.

💬

Personal tax advice

When it comes to growth, restructuring or an acquisition, we actively think along with you. You have one fixed advisor who knows your situation and advises proactively.

Questions about bookkeeping for a BV

What counts as a reasonable DGA salary?
As a director-major shareholder you must pay yourself a customary salary, based on what is standard for your role. We calculate and substantiate this for you.
What's the difference between a holding and an operating BV?
The operating BV runs the business, the holding holds the shares and accumulated capital. This separates risks and can be tax-advantageous. We advise on whether this makes sense for you.
Am I required to file annual accounts as a BV?
Yes, every BV must file annual accounts with the Chamber of Commerce each year. We prepare these for you and make sure it happens on time and correctly.
